  Supplier Return Policy

  Products or services are deemed accepted by Customer unless Customer notifies Supplier of shortages, damage, or defects in writing within 15 days of delivery of products or performance of services. All returns or refunds must comply with Supplier’s returns or refunds policy. If Customer refuses to accept tender or delivery of any products or return any products without authorization from Supplier, Supplier shall hold such products awaiting Customer’s instructions for 30 days, after which Supplier may deem the products abandoned and dispose of them without crediting Customer’s account. Customer warrants that any products returned are the original products Supplier shipped to Customer and are unaltered.

• EOL and Last Time Buy - Certain components or products may be designated as end-of-life or obsolete (“EOL”) by the OEM. Upon Supplier’s receipt of such designation, Supplier will notify Customer that the OEM will discontinue the manufacture of any component or product. Any last-time-buy opportunities will be based on component or product quantities and purchase time frames established by the OEM and will be subject to Supplier’s NCNR or EOL agreement as applicable. Should Customer not take delivery of such EOL Products by the delivery date mutually agreed upon in writing, Customer agrees that it will be responsible for purchasing from Supplier all EOL Products procured or on order by Supplier for Customer

• NCNR - At times, Supplier may designate certain items as non-cancellable non-returnable (NCNR) products. NCNR are Customer’s order which cannot be canceled once Supplier has placed its order with the OEM or supplier, and NCNR products cannot be returned except for a valid warranty claim. NCNR includes customized components, assembled products, finished goods, software, EOL, components for which the OEM or supplier has set minimum order quantities, WIP, materials or components purchased by Supplier from a supplier with whom Supplier has limited or no return privileges, items for which Customer is deemed a single-Customer (“single-customer” meaning item(s) identified by Supplier as having negligible demand or purchases from other customer(s) over the preceding two (2) years), and standard components held in Supplier’s inventory longer than the agreed-upon date.
